Terms of Service

These Terms of Service govern your use of the Overhauled.ai website and any services provided by Overhauled.ai ("we", "our", or "us"), a web design, tech, and AI automation business based in Guelph, Ontario, Canada. We work with clients worldwide. By using our website or engaging our services, you agree to these terms.

Services

Overhauled.ai provides web design, website maintenance, local SEO, and AI-powered business automation services to small businesses everywhere. Specific deliverables, timelines, and pricing are agreed upon in writing before work begins.

Project Agreements

Each project is governed by a separate written agreement or proposal that outlines scope, pricing, payment terms, and timelines. These Terms of Service apply in addition to any project-specific agreement. In the event of a conflict, the project agreement takes precedence.

Payment

• A 50% deposit is required before work begins on any new project.
• The remaining balance is due upon project completion, before final files or access are handed over.
• Monthly retainer services are billed at the start of each month.
• Invoices are due within 14 days of receipt unless otherwise agreed.
• Late payments may result in work being paused until the account is settled.

Revisions and Scope

Our standard project pricing includes a defined number of revision rounds as specified in your proposal. Work outside the agreed scope will be quoted and billed separately. We aim to be flexible and will always communicate before any additional charges are applied.

Client Responsibilities

To complete your project on time, we may need content, images, login credentials, or feedback from you. Delays caused by late delivery of client materials may push back the project timeline. We are not responsible for delays caused by the client.

Intellectual Property

Upon receipt of full payment, you own the final website files and content we create for you. We retain the right to display completed work in our portfolio unless you request otherwise in writing. Third-party assets (fonts, stock photos, plugins) remain subject to their respective licences.

Hosting and Maintenance

We do not provide hosting directly. We can recommend and help set up hosting with third-party providers. If we manage hosting or maintenance on your behalf, those terms are covered in a separate service agreement.

Limitation of Liability

To the fullest extent permitted by law, Overhauled.ai shall not be liable for any indirect, incidental, or consequential damages arising from use of our services. Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

Warranties

We warrant that our work will be completed with reasonable skill and care. We do not guarantee specific rankings, traffic levels, or business outcomes from SEO or marketing services, as these depend on many factors outside our control.

Termination

Either party may terminate a project with 14 days written notice. You will be invoiced for all work completed up to the termination date. The deposit is non-refundable once work has commenced.

Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Changes to These Terms

We may update these Terms of Service from time to time. The "Last updated" date at the top of this page reflects the most recent revision.
